BUCK-A-BOOK AGREEMENT
(AKADEMOS ASSOCIATES) 

THE FOLLOWING SETS FORTH THE TERMS AND CONDITIONS ON WHICH AKADEMOS, INC. OFFERS YOU THE OPPORTUNITY TO PARTICIPATE IN THE BUCK-A-BOOK AKADEMOS ASSOCIATES PROGRAM. 
After you read this Agreement, you may accept its terms by clicking on the “I agree” checkbox at the end of the Agreement.

1. Overview of this agreement

1.1 Introduction. Welcome to the Buck-a-Book Akademos Associates program (the “Buck-a-Book program”) which is offered by Akademos, Inc. (“we” or “Akademos”) for members of the TextbookX.com online buying and selling community. This Buck-A-Book Akademos Associates Agreement (the “AA Agreement”) lists the terms and conditions between Akadamos and you under which you may participate in the Buck-a-Book program as an Akademos Associate (“AA”). The Buck-a-Book program gives you the opportunity to earn money by publicizing TextbookX.com. By clicking “I agree” below, you accept the terms and conditions of this AA Agreement and willingly choose to become an AA.

1.2 Membership. Only members of the TextbookX.com community are eligible to participate in the Buck-a-Book program. If you have not already done so, you must read and accept the Akademos User Agreement before you can sign on as an AA.

1.3 Modification. Akademos reserves the right to unilaterally modify or terminate the Buck-a-Book program and/or this AA agreement (including any of the Additional Policies that are incorporated herein by reference (see Paragraph 1.3, below)) at any time at its sole discretion and without any notice to you. This right includes, but is not limited to, the unilateral right to modify the Buck-a-Book Payment Policy. Akademos may announce modifications or termination of the Buck-a-Book program or this AA agreement (or any aspect thereof) by posting a notice on your “My Account” page and, in the case of modifications, also posting the revision on the Site. You agree to check your “My Account” page weekly to look for notices of modifications or termination of the Buck-a-Book program. Any modification shall automatically be effective and replace the terms and conditions provided herein fifteen (15) days after it is posted. By clicking “I agree” below, you agree that under no circumstances shall you assert any claim against Akademos or its parents, subsidiaries, affiliates, officers, directors, agents, legal representatives and employees (the “Releasees”) based on the modification or termination of the Buck-a-Book program or this AA Agreement (including any of the Additional Policies that are incorporated herein by reference), or any aspect of them, and you hereby release the Releasees from all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed arising out of or in any way connected with any modification or termination of the Buck-a-Book program or this AA Agreement. If you are a California resident or it is otherwise applicable to you, you waive California Civil Code 1542, which says: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor.” If you do not agree with the terms and conditions of any revised AA Agreement (including any of the Additional Policies), please do not continue to perform as an AA.

1.3 Additional Policies. This AA Agreement incorporates by reference the following policies also found on this Site:

You represent that, prior to accepting this AA Agreement, you have clicked on each of the above links and read each of the listed policies.

2. How to become an AA

2.1 In order to become an AA, you must:

Become a member of the Akademos community by reading and agreeing to the Akademos User Agreement. 
Be at least 18 years old and a United States citizen or legal resident, and reside in the United States. You may only become an AA if you can legally enter into and form binding contracts, and legally work in the United States. For example, minors are not allowed to function as AAs.
Provide Akademos with accurate current identifying and tax information (which will be requested from you if you accept this AA Agreement). 
2.2 To register as an AA, you must verify your real name and provide your current postal address, telephone number and email address. You must provide valid credit card and bank account information. We also require a valid tax identification number or social security number. Registration data is kept private in accordance with the terms of this AA Agreement and Akademos’s Privacy and Security Policy. When you register as an AA, you authorize Akademos and its agents, suppliers to make any inquiries necessary to verify the information you have provided to us. This may include a small authorization—but no charge—to your credit card for the purposes of validation only, or address verification from state motor vehicle departments or other sources. 
2.3 You will use your TextbookX.com User Name and Password to access the Buck-a-Book web site at www.TextbookX.com/___. Your User Name will also function as your AACode.

3. How the Buck-a-Book program works

3.1 As an AA, you will have the opportunity to earn money by publicizing our services using marketing materials that we supply which may include posters, flyers, electronic search box “widgets,” and/or an email message, each of which will be labeled with your AACode (which is identical to your User Name). These materials may be augmented, modified and/or updated from time to time. You can download these marketing materials from the Buck-a-Book web site at your own cost using your User Name and Password. We may, at our sole discretion, also provide some or all of our AAs with pre-printed marketing materials or make them available for purchase. 

3.2 The marketing materials that you receive from us will promote the TextbookX.com website, or one of its college-specific “micro sites” and incentive offers. They will advertise that new members of TextbookX.com can receive the benefit of the incentive by providing us with your AACode at the time that they register as a new member. This is the only way that we will be able to identify those new members that register as a result of your publicity efforts. Therefore, after you download or receive our marketing materials, it is important that you check to make sure that your AACode appears on them and contact us if it does not. 

3.3 At any time, the rules of the incentives that are running will be posted on the Site. We may, but are not obligated to run additional incentives after incentive period is completed. If we do, there may be a time break between the closing of one incentive period and the opening of the next.

3.4 We will include the termination date of the then-running or upcoming incentives on the marketing materials that you receive from us. We will make new marketing materials available to you for each new incentive that we offer. 

3.5 You agree that you will not use any materials to publicize or solicit new members for our Site and services other than the marketing materials that we supply to you through the Buck-a-Book web site, and that you will use our materials in the form in which we supply them without modifying them in any way. You further agree that, upon receipt of a request from us that you cease using one or more of our marketing materials, you will immediately comply.

3.6 You agree not to make any promises, representations or false, misleading or deceptive statements regarding our services or the incentives.

3.7 You agree that, in publicizing our Site and services, you will respect all governmental and private laws, standards, regulations and rules, including campus rules and policies, and rules applicable to any computer network or service that you employ. You agree that you will not send “spam” email or disseminate the email message regarding our Site and/or services to email recipients whom you do not know. Akademos shall not be liable for any uses that you make of our marketing materials or any solicitations or communications that you make that do not comply with the terms and conditions of this Agreement, and you agree to defend, indemnify and hold Akademos, and its parent (if applicable), subsidiaries, affiliates, officers, directors, attorneys, agents and employees, harmless against all liabilities, costs and expenses, including reasonable attorney’s fees and expenses, that they incur in connection with any claim asserted by a third party that involves, relates to, concerns or arises out of your use of our marketing materials or any solicitations or communications that you make that do not comply with the terms and conditions of this Agreement.

3.8 You acknowledge that your breach of any subparagraph of this Paragraph 3 of the AA Agreement is likely to result in irreparable harm to Akademos and that Akademos will have no adequate remedy at law and will be entitled to injunctive relief and an award of attorney’s fees and expenses. 

4. Your Compensation

4.1 For each new member who supplies us with your AACode at the time of their initial registration and places their first order at that or a later time, we will compensate you in accordance with the Buck-a-Book Payment Policy that is in effect on the date of the new member’s first order. We reserve the right to set a minimum sales price in the Buck-a-Book Payment Policy such that no compensation will be due to you if the new member’s first order includes books whose retail or sales marketplace sales prices are below that minimum.

4.2 Your compensation will accrue as set forth in the Buck-a-Book Payment Policy. We reserve the right to withhold or, if already paid, to recoup any compensation that is paid to you based on any order (or portion of an order) that is cancelled, disputed or for which we do not collect or are required to reimburse the purchase price (see Buyer Protection Policy). You authorize us to withhold payment or charge your credit card accounts (or debit your bank account) for any amount you owe us if (a) a sale is cancelled for any reason; (b) an adjustment is made pursuant to our Buyer Protection Policy; or (d) you otherwise owe us a specific amount. If any of those things happen, we may also deduct from any amount we owe you, the amount you owe us.

4.3 You are responsible for providing us with current mailing and email addresses, credit card number and bank account information at all times. You can update this information by logging into the “My Account” web page on TextbookX.com. Tax forms will be mailed to you at the last address that you have provided to us. If they are returned to us unclaimed, we will have no obligation to locate you. Payments will be credited to the credit card or bank account that you have provided to us. In the case of an expired card or account, your payment will be forfeited. If we are unable to credit two consecutive Buck-a-Book payments to your credit card or bank account, you will be deemed to have forfeited your right to receive any further compensation from us and we will have no further obligation to make any payments to you. 

4.4 You agree that you shall not under any circumstances have any right to audit Akademos or to access or copy our books and records. 

4.5 In the event that we terminate the Buck-a-Book program, we will have no obligation to make any payments to you on first orders that are placed by new members after the program termination date. In the event that we terminate the Site, the Buck-a-Book program will automatically terminate and you will be entitled to no further compensation.

5. Your status

5.1 You will operate at all times as an independent contractor. This AA agreement does not create a partnership, joint venture, employer-employee relationship agency relationship between you and us. You shall not have the power to enter into contracts or make representations on behalf of Akademos and agree not to attempt to do so. You acknowledge that your breach of this subparagraph of this AA Agreement is likely to result in irreparable harm to Akademos and that Akademos will have no adequate remedy at law and will be entitled to injunctive relief and an award of attorney’s fees and expenses. 

5.2 You agree that Akademos is not responsible in any way for the payment or withholding of taxes or social security on your behalf. 

6. Your warranties and acknowledgements

6.1 You warrant and agree that you will not register as an AA under a false name or provide us with a false address, or encourage, aid or abet any person in registering as a new member or an AA under a false name or with a false address.

6.2 You represent and warrant that you will send our marketing email to third parties free from viruses or any programming that is intended to damage or interfere with any system, data or personal information. You acknowledge that your breach of this subparagraph of this AA Agreement is likely to result in irreparable harm to Akademos and that Akademos will have no adequate remedy at law and will be entitled to injunctive relief and an award of attorney’s fees and expenses. 

6.3 You agree to defend, indemnify and hold Akademos, and its parent (if applicable), subsidiaries, affiliates, officers, directors, attorneys, agents and employees, harmless against all liabilities, costs and expenses, including reasonable attorney’s fees and expenses, that they incur in connection with any claim asserted by a third party that involves, relates to, concerns or arises out of any of your actions or omissions.

6.4 You acknowledge and agree that we own the copyrights in and to the Site and all marketing materials that we supply to you in connection with the Buck-a-Book program. You further acknowledge and agree that we own all trademarks used in connection with the Buck-a-Book program, the Site and our services, that your use thereof pursuant to this AA Agreement shall inure to our benefit, and that you will not at any time contest the validity of our trademarks or our ownership thereof.

7. What happens if we think you have broken our rules

7.1 We may investigate complaints and violations of this AA Agreement and/or our policies. You agree to cooperate fully with such investigations, including without limitation, providing us with specific information regarding your activities as an AA including the names, addresses, telephone numbers and email addresses of all persons whom you have directly solicited as an AA.

7.2 We may take any action that we deem appropriate in our sole discretion, including without limitation, issue a warning, suspend or terminate your access to the Site and/or your status as an AA if: (a) you breach this AA Agreement, any of the warranties it contains or the policies it incorporates by reference, or the User Agreement; (b) you are unwilling to cooperate with our investigation of a reported violation; (c) we are unable to verify or authenticate any information that you provide to us; or (d) we believe that your activity may cause legal liability for you, for other members, or for Akademos. You agree that any payments due to you may be suspended or delayed pending our investigation and that we shall not be obligated to make any further payment to you if your status as an AA is terminated.

7.3 Fraudulent conduct may be reported to law enforcement in accordance with our Privacy and Security Policy, and Akademos will cooperate to ensure that violators are prosecuted to the fullest extent of the law. Akademos also reserves the right to report any activity that it suspects violates any law, regulation, policy or rule to appropriate law enforcement officials, regulators, or other relevant third parties.

8. NO WARRANTY

8.1 AKADEMOS PROVIDES THE MARKETING MATERIALS, SOFTWARE, SITE, AND ITS SERVICES ON AN “AS IS” BASIS AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND TO YOU OR TO THE NEW MEMBERS THAT MAY REGISTER WITH US AS A RESULT OF YOUR EFFORTS. AKADEMOS MAKES NO WARRANTY WITH RESPECT TO THE SERVICES IT PERFORMS, THAT ITS SYSTEM WILL CORRECTLY REGISTER THE ENTRY OF ANY AACODE, OR THAT AA’S WILL EARN ANY COMPENSATION AS A RESULT OF THEIR EFFORTS, AND EXPRESSLY DISCLAIMS ALL SUCH WARRANTIES.

8.2 AKADEMOS EXPRESSLY DISCLAIMS ANY RESPONSIBILITY FOR ANY CONSEQUENTIAL, INCIDENTAL, AND EXEMPLARY DAMAGES (INCLUDING WITHOUT LIMITATION DIRECT, INDIRECT AND SPECIAL DAMAGES) WHICH MAY RESULT FROM YOUR PARTICIPATION IN THE BUCK-A-BOOK PROGRAM.

8.3 AKADEMOS'S LIABILITY, AND THE LIABILITY OF OUR SUPPLIERS, TO YOU OR ANY ONE ELSE IN ANY CIRCUMSTANCE IS LIMITED TO THE GREATER OF (A) $100, AND (B) THE TOTAL DOLLAR AMOUNT OF ALL FEES YOU HAVE PAID TO US IN THE 12 MONTHS PRIOR TO THE ACTION ALLEGEDLY GIVING RISE TO LIABILITY.

8.4 YOU ACKNOWLEDGE AND AGREE THAT THE FOREGOING DISCLAIMERS AND LIMITATIONS OF LIABILITY REPRESENT BARGAINED FOR ALLOCATIONS OF RISK, AND THAT THE COMPENSATION AND OTHER TERMS AND CONDITIONS OF THIS AGREEMENT REFLECT SUCH ALLOCATIONS OF RISK.

8.5. Some states do not allow the limitation of liability, so the foregoing limitations may not apply to you.

9. Additional Terms of this Agreement

9.1 Notices. Except as expressly stated otherwise, all notices to Akademos shall be sent to the email addresses provided on the Site. Our street address is 25 Van Zant Street, Norwalk, Connecticut 06855. Except as expressly stated otherwise, all notices to you shall be sent to the email address you provide to us during the AA registration process. Such notice shall be deemed given one (1) business day after the email is sent.

9.2. Governing Law; Arbitration. This Agreement shall be governed by and interpreted in accordance with the law of the State of Connecticut, U.S.A., without regard to its provisions governing conflicts of law. Except for allegations that you have infringed or have threatened to infringe our intellectual property rights or breached your obligations under Paragraphs 3 or 6 of this AA Agreement, you and we agree that any dispute or controversy between us, or arising under or concerning performance or breach of this Agreement, shall be settled by one arbitrator in binding arbitration, to be held in Fairfield County, Connecticut, U.S.A., under the then-current rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis and shall not be consolidated in any arbitration with any claim or controversy of any other party. Judgment on the arbitration award may be entered in any court of competent jurisdiction. In the event of an action in which Akademos alleges that you have infringed or threatened to infringe our Intellectual Property rights or breached any of your obligations under Paragraphs 3 or 6 of this AA Agreement you consent to the exclusive personal jurisdiction and venue of the state courts in Fairfield County, Connecticut and the federal courts located in the State of Connecticut, U.S.A. Should either party file an action contrary to this provision, the other party may recover attorney’s fees and expenses up to $1000.00 (USD).

9.3 This AA Agreement is a separate agreement that addresses subject matter that is different from the subject matter addressed in the User Agreement between us and does not supersede that agreement with respect to its subject matter. This AA Agreement (and all policies incorporated by reference that pertain specifically to the Buck-a-Book program) constitutes the entire agreement between us pertaining to the subject matter hereof and supersedes all prior agreements and understandings between us with respect to the subject matter hereof, whether written or oral. No amendment, modification or supplement of any provision of this AA Agreement will be valid or effective unless made in accordance with the express terms of this AA Agreement. If any provision of this AA Agreement is held to be invalid or unenforceable under any circumstances, its application in any other circumstances and the remaining provisions of this AA Agreement shall not be affected. You may not assign or transfer this AA Agreement, or any of its rights or obligations, without the prior written consent of Akademos, which we can refuse. Nothing in this AA Agreement is intended to confer benefits, rights or remedies unto any person or entity other than the parties hereto and their successors and permitted assigns. Our suppliers, subcontractors and co-brand associates are third-party beneficiaries of this AA Agreement.
